Filling out Indemnification Agreement for Limited Liability Corporation (LLC) or Limited Liability Partnership (LLP)

 

If the company is a Limited Liability Corporation or Limited Liability Partnership then the owners must sign the Indemnification Agreement as follows:

 

One owner should sign as "Managing Member," "Member," or "Partner."  This signature is the indemnification of the LLC or LLP, our Principal.  Then all owners must sign below as personal indemnitors.  

 

If the owners are married, then spousal signatures may also be required as indemnitors.

 

Example:  AAA Auto Sales, LLC. (Owners are Marshall Matthews and Tony Jones. Marshall's wife is Simone.  Tony is not married.)
